Terms and Conditions
These Terms and Conditions (“Terms”) govern the use of Greenlights’ website and services. By accessing or using any of our services, you agree to comply with these Terms. If you do not agree with any part of these Terms, you should discontinue use immediately.
1. Introduction
Greenlights provides website development, digital marketing, and related services (“Services”). By using our website, https://greenlights.digital, and engaging in services, you accept and agree to these Terms.
2. Acceptance of Terms
By accessing or using Greenlights’ website or services, you accept and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.
3. Services Provided
Greenlights offers a range of services including website redesign, custom development, digital marketing, SEO, and related services. The specific scope of work will be outlined in the proposal or agreement provided to each client.
4. Client Responsibilities
You agree to provide necessary resources, materials, and information for the completion of the project. You must also ensure that all content provided is either owned or licensed by you and does not infringe any third-party rights.
5. Project Scope and Revisions
5.1 Project Scope
All projects will be outlined in detailed proposals, which will define deliverables, timelines, and associated costs. Any significant changes to the project scope, as agreed upon initially, may incur additional charges.
5.2 Revisions
Projects include up to 3 rounds of revisions as standard. Additional revisions beyond this limit will incur extra charges at the rate of 129 per hour (currency determined by your project payment).
5.3 Long Projects
If the project takes longer than 90 days, goes through more than 3 revisions, or exceeds the set number of hours calculated by dividing the contract price by 129, we will charge an additional 129 per hour (currency determined by your project payment) for any extra work. This timeline begins from the date the contract is signed, provided that we deliver the first draft within 30 days of starting.
If we take longer than 30 days to deliver the first draft, these extra charges will apply after 60 days or 3 revisions from when the first draft is provided. The set number of hours before additional charges, calculated by dividing the contract price by 129, remains unchanged in this scenario.
These additional charges, applied on top of the contract price, will be enforced regardless of whether delays are due to errors on our end or your need for additional review time. This policy is intended to ensure projects progress efficiently and avoid unnecessary delays.
6. Payment Terms
6.1 Milestone Payments
Payments for services are structured around project milestones, as agreed upon in the proposal. A non-refundable deposit of 100 (currency determined by your project payment) is required to initiate the project (“Kick-Off Deposit”). This deposit will be applied toward the total project cost. The card details provided for this deposit will be securely stored using Stripe’s payment processing system and will be used to process milestone payments as they become due. If payments are not made on time, Greenlights reserves the right to pause work until outstanding payments are received.
6.2 Invoicing and Payments
Invoices for services will be issued as outlined in the proposal. Payments are due within the time period specified on the invoice. Any overdue payments may result in additional charges or suspension of services.
6.3 Taxes
You are responsible for any applicable taxes related to the services provided by Greenlights, including but not limited to sales tax, VAT, or other taxes that may apply in your jurisdiction.
7. Delivery and Post-Delivery Requests
7.1 Delivery Timeline
Projects will be delivered according to the agreed timeline in the proposal. Delays caused by client actions or inactions may result in additional charges.
7.2 Requests for Changes After Delivery
You may request changes or additional work after project delivery is complete by contacting Greenlights through our support email (hello@greenlights.digital). These requests will be treated as requests for price estimates, which will be provided via email. The additional work will be subject to approval and may incur additional charges.
8. Website Maintenance
8.1 Scope of the Website Care Plan
Greenlights provides optional ongoing website maintenance services through the Website Care Plan, designed to support and protect your website from potential security threats while ensuring it remains up to date. The Website Care Plan includes ongoing support for your website (maximum 10 hours per month) and regular updates to the website’s plugins and software to the latest versions, ensuring compatibility and security.
8.2 Subscription Fees
The monthly subscription fee for the Website Care Plan is 129 and the currency will be determined by that used for your project payment. The monthly fee will be charged to the payment method provided during the project payment process. If no valid card information is on file, the subscription charges will be invoiced using the contact information provided during the project.
8.3 Acknowledgement of Subscription
By continuing to use the services provided through the Website Care Plan, you acknowledge and agree to the following:
8.3.1 The automatic activation of the Website Care Plan upon project completion is in your best interest to ensure ongoing support and security.
8.3.2 The applicable monthly subscription charges, based on the currency of your project payment, will apply.
8.3.3 If you choose not to utilize the Website Care Plan, you must notify us in writing prior to project completion.
9. Intellectual Property Rights
Greenlights retains ownership of all intellectual property created during the course of providing services, unless otherwise specified in the agreement. Upon full payment, you will have full rights to use the final deliverables, subject to the terms of the agreement.
10. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project. Information will not be disclosed to third parties without consent, except as required by law.
11. Limitations of Liability
Greenlights will not be liable for indirect, incidental, or consequential damages arising out of the use of its services, including but not limited to loss of profits or data breaches caused by third-party services. Our liability is limited to the total amount paid by you for the specific service rendered.
12. Termination
12.1 Termination Conditions
Either party may terminate the agreement by providing written notice 30 days in advance if the other party breaches a material term and fails to remedy the breach within a reasonable time.
12.2 Client Obligations
Upon termination, the client agrees to pay for all work completed up to the point of termination, including any non-refundable portions.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California. Any disputes shall be resolved exclusively in the courts of San Francisco, California.
13.2 Dispute Resolution
In the event of a monetary dispute, both parties agree to resolve the issue through mediation or arbitration before pursuing legal action. The process will follow established guidelines, and any necessary costs will be shared equally by both parties.
14. Privacy and Data Protection

15. Force Majeure
Greenlights is not liable for failure to perform services due to circumstances beyond its control, including but not limited to acts of God, war, strikes, natural disasters, or technical failures.
16. Changes to Terms
Greenlights reserves the right to modify these Terms at any time. Changes will be posted on our website and will take effect immediately upon posting. Users will be notified of updates via email.
17. General Provisions
17.1 No Assignment
You may not assign or transfer any of your rights or obligations under these Terms to a third party without our written consent.
17.2 Entire Agreement
These Terms, together with any proposal, quotation, or separate agreement, represent the entire agreement between you and Greenlights. Any prior agreements or understandings are superseded by these Terms.
17.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
